Terms and Conditions

These terms apply when you use contentkingbd.com or hire Content King Ltd. (“Content King”, “we”, “us”) for any service. “You” means the person or company using the site or buying from us.

By using our website or working with us, you agree to these terms. If you don’t agree, please don’t use the site or our services.

1. Our Services

Content King provides creative design, UI/UX design, web and app development, video content, content writing, SEO and AI search optimization, social media, and related digital marketing services.

The scope, deliverables, timeline, and price for each project are set out in a written proposal, quote, or agreement. If that document conflicts with these terms, the signed document wins for that project.

2. Quotes and Proposals

Proposals are valid for [30 days] from the date we send them, unless we say otherwise.
A project starts only after you accept the proposal in writing (email is fine) and pay any advance we ask for.
Work outside the agreed scope is quoted separately. We won’t start it until you approve the extra cost and time.

3. Payments

Fees, payment schedule, and currency are listed in your proposal.
Typical structure: [e.g., 50% advance, balance on delivery, or milestone-based for larger projects].
Invoices are due within [7 days] unless the proposal says otherwise.
We may pause work on any project with an overdue invoice. Late payments may carry a fee of [e.g., 2% per month].
Advance payments are [non-refundable once work has started]. If we cancel a project for reasons on our side, we’ll refund the part of the advance covering work not yet done.
Taxes, VAT, and bank or transfer charges are your responsibility unless the proposal states they’re included.

4. Your Responsibilities

To keep a project on schedule, you agree to:

Give us the content, logos, brand assets, access, and approvals we need, on time
Name one person who can give feedback and approvals on your behalf
Make sure you own, or have permission to use, everything you give us (text, images, music, fonts, and data)
Give feedback within [5 working days] of each delivery

If feedback or materials arrive late, deadlines move by the same amount of time. Long delays may affect your project slot and could lead to rescheduling fees.

5. Revisions and Approvals

Each proposal includes [a set number of revision rounds, e.g., 2 rounds per deliverable].
A revision means changes within the approved direction. Changing the concept, brief, or structure after approval counts as new work.
Once you approve a deliverable in writing, further changes are billed at our standard rates.
If we don’t hear from you for [30 days] after a delivery, we’ll treat the work as approved.

6. Intellectual Property

Your materials: You keep ownership of everything you give us.
Our work: Ownership of the final deliverables passes to you once the full project fee is paid. Until then, we keep all rights, and you may not use the work publicly.
Our tools: We keep ownership of our own templates, code libraries, frameworks, processes, and know-how, including anything we built before or apart from your project. You get a license to use them as part of the deliverables.
Third-party assets: Stock images, fonts, plugins, and software come with their own licenses. We’ll tell you which ones need a separate license and who pays for it.
Drafts and unused concepts: These stay with Content King and can’t be used without our written permission.

7. Portfolio Rights

Unless you tell us in writing that a project is confidential, we may show the finished work in our portfolio, case studies, social media, and pitches, and name you as the client. We won’t share confidential business details, internal data, or anything marked private.

8. Confidentiality

Both sides agree to keep the other’s non-public business information private and use it only for the project. This doesn’t apply to information that is already public, that the other side already had, or that the law requires us to disclose. This duty continues after the project ends.

9. Third-Party Tools and Services

Some projects rely on tools we don’t control, such as hosting, domains, plugins, payment gateways, ad platforms (Meta, Google, LinkedIn), and AI tools. We aren’t responsible for outages, policy changes, account suspensions, or price changes by these providers. Fees for them are billed to you unless the proposal says otherwise.

10. Marketing and Results

We use our experience and best practices, but we can’t promise specific results such as rankings, traffic, leads, sales, ad performance, or appearance in AI-generated answers. Search engines, social platforms, and AI systems change their rules and algorithms without notice, and outcomes also depend on your product, pricing, and market.

11. Website Use

When you visit contentkingbd.com, you agree to:

Use it only for lawful purposes
Not try to break, overload, scrape, or gain unauthorized access to the site
Not copy or reuse our content, designs, or code without written permission

The content on this site, including text, graphics, logos, and case studies, belongs to Content King or the clients who’ve allowed us to show their work. Brand names and logos of clients shown on the site belong to those clients.

12. Warranties and Disclaimer

We’ll carry out our services with reasonable care and skill. Beyond that, the website and our services are provided “as is,” and we don’t make any other promises, express or implied, including that the website will always be available, error-free, or free from viruses.

For websites and apps we build, we’ll fix bugs that come from our own work for [30 days] after launch at no cost. After that, fixes and updates fall under a maintenance agreement or are billed separately.

13. Limitation of Liability

To the fullest extent the law allows:

Content King isn’t liable for indirect or consequential losses, such as lost profits, lost business, or loss of data.
Our total liability for any claim related to a project won’t be more than the fees you paid us for that project.

Nothing in these terms limits liability that can’t be limited by law.

14. Indemnity

You agree to cover Content King for claims, losses, and costs that arise from materials you provided (for example, copyright or trademark claims over content you asked us to use) or from your misuse of our deliverables.

15. Cancellation and Termination

Either side can end a project by giving [7 days] written notice.
If you cancel, you pay for all work completed up to the cancellation date, plus any non-refundable costs we’ve already paid to third parties.
We may end an agreement immediately if you don’t pay, break these terms, or act in a way that makes it unreasonable for us to continue.
For ongoing or retainer services, [30 days] written notice is needed unless the agreement says otherwise.
Sections on payment, intellectual property, confidentiality, and liability continue after termination.

16. Force Majeure

We aren’t responsible for delays or failures caused by events outside our reasonable control, such as natural disasters, strikes, power or internet outages, government action, or failures of third-party platforms.

17. Privacy

How we collect and use personal information is explained in our Privacy Policy, which forms part of these terms.

18. Governing Law and Disputes

These terms are governed by the laws of Bangladesh. We’ll first try to settle any dispute through good-faith discussion. If that doesn’t work, the courts of Dhaka will have jurisdiction. [Optional: add mediation or arbitration here if you prefer.]

19. Changes to These Terms

We may update these terms from time to time. When we do, we’ll change the “Last updated” date at the top. Changes don’t affect projects already agreed in writing unless both sides accept them.
